These apply to every purchase and to the use of any VINAI plugin. Last updated 5 July 2026.

1 · Agreement to these terms

These Terms are an agreement between you and VINAI S.r.l., Via Corsica 143, 25125 Brescia, Italy — VAT no. IT03618400984 ("VINAI", "we", "us").

By browsing this site, downloading, or installing and using any VINAI plugin, you agree to these Terms and to the handling of your data described in our Privacy Policy. If you do not agree, please do not install or use the software. We may update these Terms from time to time; the version in force is always the one published on this page.

2 · What you're buying — your license

VINAI plugins are licensed, not sold. On purchase you receive a personal, worldwide, non-exclusive, non-transferable license to install and use the plugin on machines you own or control — including in your own commercial music and audio productions — for as long as these Terms are respected.

You may not: resell, rent, lend, sublicense or redistribute the software or your license key; share your key or account with others; remove or alter any branding or licensing mechanism; or reverse-engineer, decompile or disassemble the software, except to the limited extent mandatory law expressly permits.

3 · Prices, orders & payment

Prices are shown in euro (EUR) and may change at any time before you purchase; applicable taxes such as VAT may be added based on your location. Payments are handled by third-party payment providers — we never store your full card details. Your order is confirmed once payment completes and you receive an order confirmation by email.

4 · Delivery

All products are digital. After payment you receive an instant download and your license through your account and/or by email. No physical goods are shipped.

5 · Refunds & right of withdrawal

Under EU consumer law — the Consumer Rights Directive (Directive 2011/83/EU) and the Italian Consumer Code (Legislative Decree 206/2005) — consumers usually have a 14-day right of withdrawal on distance purchases. For digital content delivered by immediate download, that right does not apply once delivery has begun with your prior express consent and your acknowledgement that you thereby lose the right of withdrawal (Article 16, first paragraph, point (m), Directive 2011/83/EU; Article 59, letter o), Italian Consumer Code).

You are asked to give that consent at checkout. Once your download and license have been issued, all sales are final and no refund is due, except where mandatory law provides otherwise. This does not affect your legal guarantee of conformity (see section 11). To be sure a plugin is right for you, use the free 14-day trial before you buy.

6 · Free trial

Every plugin offers a fully-functional 14-day trial so you can evaluate it in your own projects before purchasing. The trial is provided for evaluation only and is subject to these Terms.

7 · Updates

Your license includes free updates within a plugin's current version — fixes, improvements and new features at no extra cost. A future major version — a ground-up successor such as "XDS2" — is a separate product and is not included as a free upgrade.

8 · Communications, newsletter & marketing

We use your email address in line with the GDPR (Regulation (EU) 2016/679) and the Italian Data Protection Code (Legislative Decree 196/2003), on these bases:

Service messages (order, license and support information) are sent as part of performing your purchase. Marketing to customers: if you have bought from us, we may email you about our own similar products and offers under the "soft opt-in" of Article 130(4) of the Data Protection Code, with an unsubscribe link in every message. Newsletter: if you subscribe, we send it on the basis of your consent. You can unsubscribe or withdraw consent at any time via the link in any message or by contacting us; essential service messages related to your purchase continue.

9 · Your data & privacy

We process your personal data in accordance with the GDPR (Regulation (EU) 2016/679). We collect only what we need to run the shop and support you — your name, email and order/license information — and use it to fulfil and support your purchase and, as described above, to keep you informed about our products. We do not sell your personal data. Data may be handled by our payment and email providers acting as processors on our behalf. You have the right to access, rectify, erase, restrict and port your data and to object to its processing; to exercise these rights, or for any privacy question, see our Privacy Policy or contact us from the Support page.

10 · Acceptable use

You agree not to use the software for any unlawful purpose, and not to attempt to bypass, crack or circumvent our licensing or copy protection, or to help anyone else do so.

11 · Warranty & legal guarantee

Nothing in these Terms limits the legal guarantee of conformity that applies to consumers for digital content and services under Directive (EU) 2019/770, transposed in Italy by Legislative Decree 173/2021 (Consumer Code, Chapter I-bis, Articles 135-octies and following). If a plugin is faulty or does not match what was described, you are entitled to the remedies that law provides.

Beyond those mandatory rights, and to the maximum extent permitted by law, the plugins are provided "as is" and "as available", without other warranties, express or implied, including fitness for a particular purpose. You are responsible for backing up your projects and for testing the software in your own setup.

12 · Limitation of liability

To the maximum extent permitted by law, VINAI is not liable for any indirect, incidental or consequential damages, or for lost data, projects or profits, arising from the use of or inability to use the software. Our total liability for any claim is limited to the amount you paid for the product concerned.

13 · Changes to these terms

We may update these Terms as the products and shop evolve. Material changes will be reflected here with a new "last updated" date; continuing to use the software or the shop after changes take effect means you accept the updated Terms.

14 · Governing law

These Terms are governed by the laws of Italy, and any dispute will be handled by the competent courts of Italy — without prejudice to any mandatory consumer-protection rights you may have where you live.
